REGISTRATION PROCESS

PROCESS TO START LLP OBJECT CHANGE

Check on the already executed LLP Agreement
Check whether any restriction w.r.t change or alteration or addition of object clause of the LLP is mentioned in any of the earlier executed agreement and the procedure for the same.

Hold the Partners Meeting
Hold a Meeting with the designated partners, including partners as may be mentioned in the LLP Agreement

Execution of Supplementary Agreement
The supplementary agreement must be executed on the stamp paper, notarized and witnessed by at least two individuals.

Filing Agreement with the Registrar and Approval
The LLP Supplementary Agreement must be filed within 30 days of execution through Form 3 and after receiving an approval, the LLP can start new business activities.

FAQs
How can I change the objects of the LLP?

Objects can be change by executing the supplementary agreement/deed and file the E-form LLP-3

In how many days the form must be filed?

The form must be filed with MCA within 30 days of amendment.

What are the documents required for change in objects of the LLP?

Supplementary deed/Agreement shall be executed in any change in the objects of the LLP.

What are the specific activities which need prior approval?

Business activities consisting of banking, insurance, venture capital, mutual fund, stock exchange and asset management are allowed provided that in-principle approval from regulatory authorities is obtained. Please note that as per RBI guidelines, LLPs are not permitted to undertake NBFI activities.

Is additional stamp duty is required to be paid with on Supplementary Agreement?

The stamp duty has to be paid on supplementary agreement and the amount of stamp duty will differ from state to state.

When LLP can start working over their amended business activities?

The amended activities can be commenced only after getting an approval form ROC.

Do I see the amended LLP agreement on portal?

No, LLP Agreement is not a public document and therefore it is not accessible through portal. However, change of capital and name is reflected on portal.

When will the changes in LLP Agreement be effective?

The changes in LLP Agreement shall be effective since the date of execution or effective date, however only after receipt of approval from Registrar for the application made in concerned form.
